Terms of Service for WebOrigin Platforms **Effective Date: May 22, 2026**
1. Agreement & Acceptance
By accessing, installing, or using the WebOrigin SaaS platform, client dashboard, AI Trainer interface, or any associated webhooks or APIs ("Services"), you ("Tenant," "Client," "User") enter into a legally binding contract with WebOrigin ("Company," "We," "Us").
If you represent a business entity, you warrant that you have full legal authority to bind that entity to these terms. If you do not agree with any provision, you must immediately cease using our Services.

2. Service Definitions & Scope
WebOrigin provides:
- ◆ Real-time client interface for WhatsApp connection, knowledge base training, chat management, and lead capture.
- ◆ Automated inbound/outbound message processing with 0.8-second response latency.
- ◆ File upload, vectorization, and dynamic prompt generation using Google Gemini models.
- ◆ Token usage tracking, conversation metrics, and lead pipeline visualization.
- ◆ Platform-wide analytics, tenant management, and subscription billing (admin only).

3. Account Registration & Eligibility
You must:
- ◆Provide accurate, complete legal identification (personal name or registered business name, valid email, tax identification if applicable).
- ◆Be at least 18 years of age and have legal capacity to enter contracts.
- ◆Immediately notify us of any unauthorized account access.
- ◆Maintain account security by using strong passwords and protecting credentials.
- ◆Accept full responsibility for activities occurring under your account.

4. Service Usage & Fair Use Policy
You agree to use WebOrigin exclusively for lawful purposes:
- ◆ You must comply with Meta's Business Policies, Google's Terms of Service, and all applicable laws.

- ◆Spam or automated harassment via WhatsApp (exceeding rate limits or message frequency).
- ◆Distributing malware, phishing content, or fraudulent material.
- ◆Reverse engineering, decompiling, or attempting to bypass security mechanisms.
- ◆Scraping, crawling, or bulk-exporting data without authorization.
- ◆Using the API to train competing AI models or commercial products.
- ◆Attempting to breach data isolation layers or access other tenants' information.
- ◆Creating fake or fraudulent leads or manipulating analytics.
- ◆ We enforce API rate limits per subscription tier. Exceeding limits may result in temporary suspension.
- ◆ Token usage limits are strictly enforced. Requests exceeding monthly quotas are rejected until reset.

5. Subscription Tiers & Token-Based Billing
WebOrigin operates on a token-based credit system:
- ◆ Each outbound AI response consumes tokens based on prompt length and response generation cost.
- ◆ Each subscription tier includes a monthly token allocation.
- ◆ Usage exceeding monthly quotas is billed at $0.001 per token (subject to change with 30 days' notice).
- ◆ Monthly bills are generated on the same date as initial subscription, charged to the registered payment method.
- ◆ Repeated payment failures result in service suspension and potential account termination.
- ◆ Purchased tokens and subscription fees are non-refundable except where required by law.

6. Service Availability & Performance
WebOrigin operates on a **99.5% monthly uptime SLA** during normal business hours (05:00 UTC to 23:00 UTC):
- ◆ We perform maintenance windows (typically 02:00-04:00 UTC, weekdays) with 48 hours' advance notice.
- ◆ We provide status updates at status.weborigin.tech and will credit affected users proportionally.
- ◆ We are not liable for service interruptions caused by Meta, Google, Supabase, or Vercel infrastructure failures.
- ◆ Response latency targets (0.8 seconds) are maintained on a best-effort basis; actual latency may vary based on network conditions and third-party API performance.

7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- ◆ We are not liable for indirect, incidental, special, or consequential damages (lost revenue, lost data, business interruption) arising from your use of or inability to use our Services.
- ◆ WebOrigin's total aggregate liability to you shall not exceed the fees paid by you in the 12 months preceding the claim.
- ◆ We are not liable for failures, outages, or data loss caused by Meta, Google, Supabase, or other third-party services we integrate with.
- ◆ You are solely responsible for maintaining backups of your knowledge base and chat logs. WebOrigin is not responsible for unrecoverable data loss due to your configuration or negligence.

8. Intellectual Property Rights
- ◆ You retain ownership of knowledge base documents, training files, and business data you upload.
- ◆ WebOrigin retains all rights to platform code, algorithms, embeddings models, and service infrastructure.
- ◆ We grant you a limited, non-exclusive, non-transferable license to use our Services solely for your authorized business purposes.
- ◆ You may not sublicense, resell, or redistribute our Services without express written permission.

9. Data Ownership & Tenant Rights
- ◆ You own all training files, text, and documents uploaded to your knowledge base.
- ◆ You own chat message histories and metadata generated through your WhatsApp connection.
- ◆ You own all lead data, contact information, and customer interactions captured via your dashboard.
- ◆ You can export or delete your data at any time via the dashboard "Delete Account" function.
- ◆ You represent that you have legal authority to process and store third-party data (customer information) within your tenant workspace and that such processing complies with applicable privacy laws.

10. Acceptable Use & Content Policy
You are responsible for all content (text, images, files) uploaded or transmitted through our platform. You warrant that:
- ◆All content is original, lawfully obtained, or properly licensed for use.
- ◆Content does not infringe third-party intellectual property, privacy, or publicity rights.
- ◆Content does not contain malware, phishing, or fraudulent material.
- ◆Content complies with Meta's Business Policies and content guidelines.
- ◆You will not use the platform to automate spam, harassment, or bulk unsolicited messaging.
Violations may result in immediate account suspension and deletion of offending content without liability to WebOrigin.

11. Meta WhatsApp Integration & Compliance
By connecting your WhatsApp Business Account:
- ◆You authorize WebOrigin to act as an authorized partner on your behalf to Meta.
- ◆You agree to comply with Meta's Business Policies, Developer Terms, and Platform Policies.
- ◆You understand Meta may suspend your WABA or phone number for policy violations.
- ◆WebOrigin is not liable for Meta's enforcement actions or suspension decisions.
- ◆You agree not to use Meta's APIs for spam, harassment, or unauthorized commercial purposes.
- ◆You acknowledge that Meta may access, review, or disable your connection at their discretion.

12. Google Gemini Integration
By using AI features:
- ◆You consent to transmission of your content (prompts, knowledge base, chat context) to Google's servers for processing.
- ◆Google's data processing terms and privacy policies apply to your data during model inference.
- ◆You agree not to use the API to generate malicious, defamatory, or fraudulent content.
- ◆WebOrigin is not liable for Google API failures, rate limiting, or model output quality.

13. Confidentiality & Non-Disclosure

14. Modifications & Service Changes

- ◆ Subscription pricing changes are effective 30 days after email notification.

15. Termination & Account Closure
Termination by User: * You may terminate your account anytime via the Settings dashboard. * Account closure is effective immediately; remaining credits are forfeited. * Your data is purged within 30 days of closure.
Termination by WebOrigin: * We may terminate your account if you violate these Terms, engage in fraud, or pose a security risk. * Termination is effective immediately without refund of credits or fees. * You must cease all use of our Services immediately.
Effect of Termination: * All licenses and rights to use our Services terminate immediately. * Your data is deleted within 30 days unless required to be retained by law.

16. Indemnification
You agree to indemnify and hold WebOrigin harmless from any claims, losses, or damages (including legal fees) arising from:

18. Dispute Resolution & Governing Law
- ◆ These Terms are governed by the laws of India, without regard to conflict of law principles.
- ◆ Both parties consent to the exclusive jurisdiction of courts located in India (Delhi High Court and subordinate courts).
- ◆ Before litigation, you agree to attempt resolution through written negotiation (30 days) and non-binding mediation (30 days).
- ◆ If negotiation fails, disputes may be arbitrated under the Indian Arbitration and Conciliation Act, 1996 using a single arbitrator, in India.

You agree not to use WebOrigin if you are:

- ◆Listed on the U.S. OFAC sanctions list or similar government restricted-party lists.
- ◆Known to provide services to sanctioned entities or individuals.

20. Severability & Entire Agreement

- ◆ These Terms, Privacy Policy, and Data Processing Agreement constitute the entire agreement between you and WebOrigin.
